Jeffrey Neilson Appointed by Michigan Supreme Court to Attorney Grievance Commission Four-year term began October 1 The Michigan Supreme Court has appointed Lipson, Neilson Cole, Seltzer & Garin, P.C. Managing Partner Jeffrey Neilson as one of nine commissioners named to the Attorney Grievance Commission (AGC). Neilson’s three-year term began October 1. The AGC is the organization that investigates and commences misconduct proceedings against attorneys licensed in Michigan. Established in 1978 there are nine members that serve the AGC on a voluntary basis and are appointed by the Supreme Court. The AGC also employs a staff that includes attorneys and investigators. “I am very honored but this appointment and recognize its importance in helping to ensure the highest level of legal representation here in the state of Michigan,” said Neilson, a Grosse Pointe resident. “This is one significant example of our system having checks and balances to make sure that the attorneys entrusted by the business and residential community are operating with honesty and transparency.” Neilson said that the reputation that Lipson Neilson has for integrity and professionalism as a firm clearly contributed his appointment. “All of our professionals should take pride in being part of a firm that is so widely respected in the legal community,” he said. Seltzer, Lax Named to DBusiness Top Lawyers List for Metro Detroit Phillip Seltzer and Howard Lax have been selected to the DBusiness Magazine Top Lawyers list for 2011. Seltzer was named to the Legal Malpractice Law and Lax to the Banking Law categories respectively. New Michigan Trust Code Changes Go Into Effect As we enter into the next decade in the new location of the Center for Estate Planning, our law offices remain committed to providing you with the most strategically arranged estate plans. To that end, I want to update you on a few items that could affect you and your families. CHANGES TO THE MICHIGAN TRUST CODE Effective April 1, 2010, Michigan joined 38 other states in adopting the Uniform Trust Code. While this does not invalidate prior estate planning, there are several noteworthy changes:
ESTATE TAX LAW
Congress enacted changes in the Estate Tax laws on December 17, 2010 (the “2010 Act”), some of which have retro-active effect to January 1, 2010 (unless a party takes affirmative action to opt out of such provisions). In this regard, the 2010 Act also provides significant planning options in the administration of trusts and estate for persons who died during 2010. The 2010 Act also enhances gifting opportunities currently available for 2011 and 2012, including, but not limited to: (i) an increase in the estate tax exemption to $5,000,000, (ii) reduction in the maximum rate from 55% to 35%, (iii) portability of the estate tax exemption as between spouses, and (iv) re-unification of the gift, generation skipping transfer tax and estate tax exemptions. However, care in planning is still required, because the modifications enacted in the 2010 Act only apply for a two year period and are set to expire on December 31, 2012. As a result, uncertainty in this area remains, and in the absence of further Congressional action, the estate tax exemption will return to a $1,000,000 exemption level. ROTH IRA CONVERSIONS Have you ever considered converting your regular IRA into a Roth IRA, which avoids the payment of income tax upon future distributions but in the alternative requires the immediate payment of income tax? If this is something of interest to you, we recommend doing so in conjunction with the advise of your financial or tax planner since this year there are income and tax payment alternatives that will not be available in future years. While these are just a few of the more significant changes now affecting estate plans, we recommend an overall review of your current estate plan to determine if any of these legal changes or your life changes would justify our involvement.

Renegotiation with Creditors Can Effectively Create New Business Cash Flow By David B. Deutsch In this economic environment, generating cash flow is a key to survival. Companies that are finding revenue numbers are relatively flat or lower than a year ago must do everything they can to retain cash so that bills and payroll can be paid. One strategy increasingly being used by businesses is to renegotiate the existing terms of their loans, leases and other expenditures. In fact it is a common practice both locally and nationally. Tkachik v Mandeville, decided by the Michigan Supreme Court in July, 2010, appears to be yet another example of “bad facts making bad law”. In Tkachik, the parties held interests in two separate unrelated properties as tenants by the entireties. The properties statutorily passed to the husband upon the wife’s death, outside of probate (and by operation of law), as the surviving owner of the properties, subject only to the joint obligations secured against such properties.
